Dubai World Dismisses Lawsuit Against MGM MIRAGE
LAS VEGAS, Nevada and DUBAI, United Arab Emirates, April 29, 2009 – MGM MIRAGE (NYSE: MGM) and Dubai World through subsidiary Infinity World, 50/50 joint venture partners in the CityCenter project, today announced that the companies have reached an agreement on a revised joint venture agreement and also reached an agreement with CityCenter’s lenders on a comprehensive plan to fully fund the completion of CityCenter for its scheduled opening later this year.
Under the plan, Dubai World and MGM MIRAGE will fund their remaining equity contributions to CityCenter through letters of credit. In addition, CityCenter’s lenders will immediately fund the full $1.8 billion senior secured credit facility. Additionally, Dubai World will dismiss its lawsuit filed against MGM MIRAGE in Delaware Chancery Court on March 22, 2009, and Dubai World and MGM MIRAGE will exchange mutual releases.
“We are pleased that MGM MIRAGE and Dubai World, with the strong support of CityCenter’s lenders, have agreed to a comprehensive plan for the financing and completion of CityCenter,” said Jim Murren, Chairman and CEO of MGM MIRAGE and Chris O’Donnell, Dubai World's Director of the CityCenter joint venture. “CityCenter is now fully funded and on track to open in December 2009,” they said.
“CityCenter will be unlike anything anyone has seen in Las Vegas or anywhere else. We are confident in the potential of CityCenter to contribute significantly to our cash flow,” said Mr. Murren. “CityCenter is a powerful engine for growth and employment in Las Vegas and Nevada. With all funding in place, we will focus, along with our partner, on planning for an exciting opening in December and continuing to book rooms and conventions. We appreciate greatly the strong support of our lenders, who share our vision as to the importance of this project to the Las Vegas community and the entire state of Nevada.”
Mr O’Donnell said, “This agreement provides a stable financial framework for one of the most exciting destination resort development projects ever to be constructed. MGM MIRAGE is the industry’s premier luxury hotel, resort and casino developer and operator. We believe CityCenter has a bright future and will benefit both the partners and the local economy, and we look forward to working with MGM management to realize that potential.”
Key terms of the various agreements include:
- MGM MIRAGE will be responsible for completion costs to the extent net condominium proceeds are less than $243 million and for completion costs in excess of the current budget of $8.5 billion.
- Dubai World has agreed to fully fund its original sponsor contributions to CityCenter, including $135 million in payments previously funded by MGM MIRAGE on Dubai World’s behalf. Dubai World is relieved of all completion guarantees.
- Until the completion of CityCenter, MGM MIRAGE’s obligations with respect to additional construction costs, if any, will be supported by the assets of Circus Circus Las Vegas and certain adjacent land through a completion guarantee.
- The CityCenter credit facility has been amended as part of the global financing plan. Such amendments include:
- The facility will mature on June 30, 2012.
- The interest rate margin was increased by 2.00%, though such amount is “pay in kind” through September 2010, with additional periodic margin increases through the term of the facility.
- Condominium proceeds of up to $250 million may be used to pay for construction costs; 30% of net condominium proceeds in excess of $250 million will be applied to reduce outstanding borrowings under the credit facility, with the remaining 70% available as distributable cash upon CityCenter satisfying certain performance criteria.
- Certain financial covenants were modified to provide CityCenter with greater flexibility during its first 18 months of operations.

Another thanks is to Cirque du Soleil for the LOVE Show Tickets. My fellow Technology Reporter John and I enjoyed one of the world's finest shows in the amazing Beatle's LOVE theater at the Mirage. I was totally impressed with the beautiful choreography to the Beatle's amazing music and the spectacular virtuosity of the amazing Cirque Performers.

AARP - Las Vegas on $50 a day
Some of the recommendations listed there are to take the airport shuttle to your hotel, which at $6 beats a taxi or limo. They also recommend the $5 day pass on the Deuce, a bus that runs up and down the Las Vegas Strip all day and night. This is good advice because no matter how much you plan expect to walk a LOT in Las Vegas. The buildings are huge on a scale pretty much unknown outside of Las Vegas and simply walking from one end of the MGM to the other will take you 5-15 minutes even if you don't get lost. Getting lost in the Casinos is easy as the signage is designed to some extent to take you around via the slots and other distractions. If you want good directions it is best to ask an employee rather than look for signs.
Food advice from the article include all you can eat Breakfast at the Mirage's "Cravings" with some delicious selections including crab cakes and eggs benedict. They also note Main Street Station downtown as a good cheap buffet.
Cheap attractions? Forum shops live sculptures every 2 hours, the Flamingo's flamingos and wildlife habitat, the Bellagio Conservatory, and (my favorite) TI's Sirens of TI free show outside of TI right along the strip. Get there at least 15-30 minutes early for a better view. and be careful not to stand in the "VIP" area that gets cleared before each show for VIPs. The shows are nightly and the current times are 8:30pm, 10pm, 11:30pm Sirens of TI Official Website
They also recommend the Fremont Street Experience (ride the Deuce to get to the downtown Las Vegas which is about 3 miles from the strip).
I would add that the downtown area offers great hotel bargains and fun "old style vegas" strolling experiences, though you should not expect to find anything like the glamour of the splendid lobbies and hallways of the Bellagio, Venetian, Wynn, or most of the jaw droppingly extravagant Las Vegas strip hotels.

M Resort, opening March, will cater mostly to locals
Unlike other resorts on the strip, the M will cater to locals and expects 80 percent of its business to be from local visits.
M Resort will feature an outdoor amphitheater, buffets, and high quality service. It appears the goal is not so much to out wow the competition, rather to offer locals a comfortable resort environment they can call their home away from home.

Elvis in Las Vegas
You may want to check out Legends In Concert at the Imperial Palace, with a big show featuring Elvis and other legends. Add the meal option which is only about $60 vs over $50 without the meal. If you are on tight budget (or just frugal), check out the discount show ticket places along the strip which often offer half price show tickets. Ask at your hotel desk for the location and best strategies to get discounted tickets.
Generally in Las Vegas if you are flexible about days, seating, and shows you can find much cheaper entertainment than if you insist on a specific headliner at a specific time, which will generally run you full price and range from $50 to $250 depending on the show.

Sands Profits - and Stock Price - Down
CNBC reports that tourists to Las Vegas have scaled back spending and I think also there are fewer visits, though the convention traffic remains strong.
Some have suggested that the Casino business and Las Vegas in particular would be resistant to economic downturns as people turn to entertainment to sooth their economic frustrations, but this news does not support that idea.

Monte Carlo Fire
MSNBC is reporting that the Bellagio and New York New York Hotels are now being evacuated as well, though from the look of the flames this will be contained soon as it appears restricted to the roof of the Monte Carlo. It's believed the fire started at about 11am PST on the west facing roof area.
